All contracts of sale by the Company shall be on and subject to these conditions. Such terms and conditions shall be construed according to the laws of the Province of Manitoba.

In particular but without limitation any indication of price of availability of goods shall not be binding on the Company. Published prices are subject to change without notice. All shipments will be invoiced at prices prevailing on the accepted purchase order contract.

Any description, specification, drawing, particular or weight in sales materials published by the Company in relation to the goods shall not form part of any contract of sale by the Company.

In addition to the charges specified on the face hereof, purchaser shall pay all federal, provincial, municipal and other taxes and any other charges now or hereafter imposed on or in connection with the sale or use of any products.

Terms are as stated on front of contract quote offer and invoice. Interest will be charged on overdue amounts at a rate of 1.5% per month.

Company shall have the right to withhold shipment of any products if purchaser fails to make payment when due for prior shipments. Such action on the part of the Company shall not release purchaser from its obligations to accept and pay for the products if and when shipped by the Company.

Title and right of possession shall remain with the Company until all payments have been made in full. Purchaser shall do all things necessary to perfect and maintain title and right of possession as aforesaid.

Company shall not be responsible damage due to mishandling.

In the absence of specific shipping instructions, Company shall use its discretion regarding means and routing of shipments.

Risk of loss shall pass to purchaser upon consignment of product to a common or contract carrier or upon actual delivery to purchaser whichever occurs first.

Any delivery time indicated by the Company is an estimate only and the Company shall not have any liability whatsoever for failure to deliver the goods at or within any such delivery time.

Shortages must be notified in writing within three days of receipt of the products.

Restocking charges will be applied to all returns and no returns will be accepted without prior written consent of the Company.

Except as expressly provided herein, the Company makes no representation as to the merchantability, condition or quality of the goods supplied hereunder or as to their fitness for any particular purpose.

If any of these conditions of sale is invalid or unenforceable under any statute, regulation, ordinance, order of other rule of law, that term shall be deemed modified or deleted, but only to the extent necessary to comply with the statute, regulation, ordinance, order or rule, and the remaining provisions of these conditions of sale shall remain in full force and effect.

These conditions of sale constitute the entire agreement between the Company and the purchaser with respect to the sale of the goods specified on the face hereof and supersedes all prior oral or written representations and agreements. These conditions of sale may only be modified by a written agreement duly executed by the Company and the purchaser.
